GET A 20% REVENUE SHARE ON ALL INTRODUCTIONS – TERMS & CONDITIONS

THESE TERMS & CONDITIONS (“T&CS”) GOVERN PARTICIPATION IN THE GET A 20% REVENUE SHARE ON ALL INTRODUCTIONS PROMOTION (“PROMOTION”). BY PARTICIPATING IN THE PROMOTION, YOU AGREE TO BE BOUND BY THESE T&CS.

1. Promoter

The Promotion is operated by Lounges.TV Ltd, a company registered in England and Wales (company number 12950479) with its registered office at Athene House, 86 The Broadway, Mill Hill, London, NW7 3TD (“Lounges.TV”, “we”, “us”, “our”).

 

2. Eligibility

2.1 Participation is open to individuals or entities approved by Lounges.TV to act as an introducer or affiliate (“Affiliate”, “you”).

2.2 Lounges.TV reserves the right to approve, suspend, or remove Affiliates from the Promotion at its sole discretion.

 

3. The Promotion

3.1 Under this Promotion, eligible Affiliates may earn 20% revenue share on Net Talent Revenue generated from eligible introductions.

3.2 Participation is non-exclusive and does not create any partnership, joint venture, employment, or agency relationship.

3.3 Where no valid Introductions are made, no commission will be payable, and participation will continue without the need for termination.

 

4. Introductions

4.1 An Introduction means the introduction of a Solo Talent or Talent Group to Lounges.TV during the Introduction Period using a valid Affiliate/Introducer Code.

4.2 Introductions must be genuine, made in good faith, and accurately attributable to the Affiliate.

4.3 Introductions of any Solo Talent or Talent Group who has previously been signed to Lounges.TV do not qualify.

4.4 Where helpful to facilitate onboarding, an Affiliate may arrange an introductory call between the proposed Talent and Lounges.TV’s talent team, with the aim of supporting the onboarding of the Talent. 

 

5. Introduction Period

5.1 The Introduction Period begins on the date an Affiliate Code is issued and continues for 12 months, unless extended by Lounges.TV.

5.2 No commission shall be payable for Introductions made after the Introduction Period has expired.

 

6. Commission & Revenue Share

6.1 Affiliates are entitled to receive 20% of Net Talent Revenue generated by each qualifying Talent Signing during the applicable Commission Period.

6.2 Net Talent Revenue means Gross Talent Channel Revenue less Costs.

6.3 Gross Talent Channel Revenue includes ticket sales, merchandise sales, and pay-per-view sales received by Lounges.TV.

6.4 Costs include VAT, sales taxes, contributor earnings, performer and talent fees, streaming, encoding, hosting, storage, and other transactional costs directly relating to the Talent Signing.

 

7. Commission Period

7.1 For each Talent Signing, the Commission Period is 12 months starting from the date the Talent signs a contract with Lounges.TV.

7.2 The Talent must generate revenue for Lounges.TV within 6 months of introduction for commission to be payable.

7.3 No commission is payable where:

  • the Talent does not generate revenue within 6 months of introduction; or

  • the Talent has previously been signed to Lounges.TV.

 

8. Commission Payments

8.1 Commission is calculated monthly, based on each Relevant Period, being each successive calendar month during the term.

8.2 Lounges.TV will calculate commission in good faith and provide a statement detailing Net Talent Revenue and commission earned.

8.3 Commission payments will be made within 30 days of the end of each Relevant Period to the bank account nominated by the Affiliate.

8.4 All amounts are exclusive of VAT, which shall be payable in addition where applicable.

8.5 Lounges.TV may deduct any sums owed by the Affiliate from commission payments.

 

9. Affiliate Obligations

Affiliates must:

  • act in good faith at all times;

  • comply with all applicable laws and regulations;

  • keep reasonable records of Introductions;

  • not represent that they have authority to bind Lounges.TV;

  • comply with anti-bribery, anti-corruption, and financial crime legislation.

 

10. Termination

10.1 Lounges.TV may terminate an Affiliate’s participation immediately where the Affiliate:

  • commits a material breach of these T&Cs;

  • engages in fraud, dishonesty, or conduct likely to damage Lounges.TV’s reputation;

  • becomes insolvent or ceases trading;

  • breaches applicable anti-bribery or financial crime laws.

10.2 Where participation is terminated by Lounges.TV for convenience, commission shall remain payable for valid Introductions made prior to termination, for the remainder of the original Commission Period.

10.3 Where termination is for cause, no commission shall be payable after the termination date.

 

11. Intellectual Property

11.1 All intellectual property created specifically for Lounges.TV in connection with the Promotion shall vest in Lounges.TV.

11.2 Affiliates waive all moral rights in such works to the fullest extent permitted by law.

 

12. Limitation of Liability

12.1 Neither party shall be liable for indirect or consequential losses or loss of profit.

12.2 Lounges.TV’s total liability shall not exceed the total commission paid or payable to the Affiliate in the 12 months preceding the claim, except where liability cannot be excluded by law.

 

13. Confidentiality & Data Protection

13.1 Affiliates must keep all non-public information confidential.

13.2 Personal data will be processed in accordance with Lounges.TV’s privacy notice and applicable data protection laws.

 

14. Force Majeure

Neither party shall be liable for failure or delay caused by events beyond reasonable control.

 

15. General

15.1 Lounges.TV may assign its rights and obligations under these T&Cs.

15.2 These T&Cs constitute the entire agreement relating to the Promotion and supersede all prior discussions or representations.

15.3 Lounges.TV may amend these T&Cs from time to time. Continued participation constitutes acceptance of the updated terms.

 

16. Governing Law

These T&Cs are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
